Scope
These terms apply to all services provided by OXIVRA. By engaging our services, you agree to them. If a signed agreement between us contains different conditions, that agreement takes priority.
Who we are
OXIVRA is an IT consulting business based in 8200 Schaffhausen, Switzerland. You can reach us using our contact form available at https://oxivra.com/en/contact/.
Services
OXIVRA provides IT and security consulting services to businesses, including assessments, advisory, implementation support, and training. The scope of each engagement is defined in a written quote or agreement before work begins.
Quotes and agreements
Before starting any work, we provide a written quote describing the scope, deliverables, timeline, and price. Work begins once both parties have agreed in writing. Email counts as written agreement. Any changes to scope during an engagement are discussed and confirmed in writing before being applied.
Pricing and payment
All prices are in Swiss francs (CHF) and exclude VAT unless stated otherwise. Payment terms are specified in each quote. For the IT & Security Health Check, payment is split: 50% upon confirmation, 50% upon delivery of the report. Invoices are due within 30 days unless otherwise agreed. Late payments may incur interest at 5% per year in accordance with Swiss law.
Travel
For on-site work within Switzerland, travel costs are included in the quoted price. If an overnight stay is required, accommodation is at the client’s expense. For engagements outside Switzerland, travel and accommodation costs are quoted separately in advance.
Client responsibilities
To deliver our services, we need your cooperation. This means providing timely access to relevant systems, documentation, and people. If client-side delays affect our ability to deliver, we’ll work with you to adjust the timeline. Significant delays may result in additional costs, quoted separately.
Cancellation and rescheduling
Either party can cancel or reschedule a confirmed engagement with at least 5 business days’ notice at no cost. Cancellations with less than 5 business days’ notice will be billed at 50% of the agreed price. If work has already started, completed portions are billed in full.
Subcontractors
We may occasionally bring in trusted specialists for specific tasks (for example, penetration testing or technical implementation). If a subcontractor needs access to your systems or data, we’ll inform you beforehand and make sure they’re bound by equivalent confidentiality obligations.
Intellectual property
Deliverables produced for a client (reports, recommendations, documentation) belong to the client once paid in full. OXIVRA retains ownership of its methodologies, frameworks, templates, and tools used to produce those deliverables.
Confidentiality
We treat all information shared during an engagement as confidential. We won’t disclose it to third parties without your written consent, except where required by law. We won’t publicly reference an engagement or use a client’s name without written permission. This obligation continues after the engagement ends.
Limitation of liability
Our services are advisory. We provide recommendations based on what we observe and our professional experience, but we don’t guarantee specific outcomes. OXIVRA’s total liability for any engagement is limited to the amount the client paid for that engagement. We are not liable for indirect damages, lost revenue, or consequences of decisions made based on our recommendations.
Applicable law and jurisdiction
These terms are governed by Swiss law. Any disputes will be submitted to the competent courts of Schaffhausen, Switzerland.
Changes to these terms
We may update these terms from time to time. When we do, we’ll update the date at the top. The version in effect at the time an engagement is confirmed applies to that engagement.
